Terms of Service

These are the terms for using Pane. We've tried to write them the way we'd want to read them — plainly, without unnecessary legal filler. If you have questions about anything here, reach out to admin@paneapp.ai.

Pane is made by Three Lane Studios, based in Florida, USA.

1. Acceptance of Terms

By downloading, installing, or using Pane, you agree to these Terms of Service. If you don't agree, please don't use the app. If you're using Pane on behalf of a company or team, you're confirming you have the authority to accept these terms on their behalf.

2. The Service

Pane is a local-first desktop app for notes, tasks, and AI-assisted work, available on macOS and Linux. Your data lives in a local SQLite database on your own machine. Your content is also automatically backed up to our servers in end-to-end encrypted form (via Supabase) to support upcoming multi-device sync — we cannot read this encrypted data. Pane also offers AI features that connect directly to AI providers you configure with your own API keys.

We built Pane this way deliberately: your content is yours, stored on your device, and portable. Nothing about these terms changes that.

3. Account Registration

To use Pane's subscription, sync, or cloud features, you'll need to create an account with an email address and password (or supported sign-in method). You're responsible for:

• Keeping your login credentials secure
• Any activity that happens under your account
• Providing accurate account and billing information

Let us know right away at admin@paneapp.ai if you suspect unauthorized access to your account.

4. Subscription & Billing

Pane is subscription-based. There's currently no free tier — an active subscription is required to use the app.

Pricing. Pane is available at $49/month or $499/year. Pricing is shown at checkout and may change over time; we'll give you advance notice before any price change takes effect for your account.

Billing. Payments are processed by Stripe. Subscriptions renew automatically at the end of each billing period unless canceled beforehand. We don't store your full payment details — Stripe handles that.

Cancellation. You can cancel anytime from your account settings. Canceling stops future renewals; you'll retain access through the end of your current paid period.

Refunds. If you're not happy with Pane, contact us within 30 days of a charge and we'll issue a full refund, no hassle. After 30 days, refunds are handled on a case-by-case basis — reach out and we'll work with you.

5. Your Content & Data

Your notes, tasks, and any other content you create in Pane belong to you. We don't claim any ownership over it, and we don't use it for any purpose other than providing the service you asked for.

Because Pane is local-first, your content lives on your own device. It's also automatically backed up to our servers, encrypted client-side with XChaCha20 before it ever leaves your machine — we can't read it, and neither can anyone else without your key. You're responsible for keeping your device and encryption key(s) safe; if you lose access to your local device and haven't set up sync, we generally can't recover unsynced local data for you.

6. AI Features

Pane's AI features are bring-your-own-key: you connect your own account with a provider like OpenRouter, Anthropic, OpenClaw, or a local Ollama instance, and your requests go directly from your device to that provider. Pane does not proxy, log, or store this traffic.

Because you're interacting directly with third-party AI providers, you're responsible for:

• Complying with that provider's own terms of service and usage policies
• Any costs or usage charges billed by that provider
• The accuracy, safety, and appropriateness of content you send to or receive from AI models

We're not responsible for the outputs, availability, or behavior of any third-party AI provider.

7. Acceptable Use

When using Pane, you agree not to:

• Use the app for anything illegal or to violate others' rights
• Reverse engineer, decompile, or attempt to extract the source code of the app, except where applicable law expressly permits it
• Attempt to circumvent, disable, or interfere with security features, licensing, or subscription controls
• Use the service to distribute malware, spam, or harmful content
• Resell, sublicense, or provide unauthorized access to Pane to third parties

We reserve the right to suspend or terminate accounts that violate these terms.

8. Intellectual Property

Pane — the app, its design, code, and branding — is owned by Three Lane Studios and protected by applicable intellectual property laws. Your subscription gives you a personal, non-exclusive, non-transferable license to use the app; it doesn't transfer any ownership of the software to you.

Your content is yours, as described in Section 5. We're not claiming any rights to what you create.

9. Disclaimers

Pane is provided "as is" and "as available." We work hard to keep things reliable, but we don't guarantee that:

• The app will be error-free or uninterrupted
• Cloud sync or other server-dependent features will have any particular level of uptime
• Third-party AI providers you connect will perform as expected

Local features — your notes, tasks, and SQLite database — are yours and function independently of our servers, which is part of why we built Pane this way.

10. Limitation of Liability

To the maximum extent permitted by law, Three Lane Studios will not be liable for any indirect, incidental, special, or consequential damages arising from your use of Pane. Our total liability for any claim related to the service is limited to the amount you paid us in the 12 months prior to the claim.

Nothing in these terms limits liability where it can't legally be limited (for example, in cases of gross negligence or willful misconduct, depending on your jurisdiction).

11. Termination

You can stop using Pane and cancel your subscription at any time. We may suspend or terminate your account if you violate these terms.

If your account is terminated or you cancel:

• Your local data stays on your device — deleting the app doesn't touch anything already stored locally
• Synced data stored on our servers is deleted within 30 days, except where retention is required by law
• Access to cloud sync and other server-dependent features ends when your subscription ends

12. Governing Law

These terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. Any disputes arising from these terms will be handled in the courts located in Florida, unless otherwise required by applicable law.

13. Changes to These Terms

We may update these terms from time to time. If we make material changes, we'll notify you via email or an in-app notice before they take effect. Continued use of Pane after changes take effect means you accept the updated terms. We'll always keep the "Last updated" date above current.
